Moore Kingston Smith advises CACI Limited on the acquisition of Rowe IT Holdings Limited

Moore Kingston Smith Corporate Finance has advised CACI, a leading data and technology solutions company, on its acquisition of innovative IT consultancy business, Rowe IT, which provides software engineering, solution architecture and systems integration services.

CACI is a data and technology solutions business based in London, UK. Established in 1975, it employs over 1300 people to help transform their clients’ businesses through data and technology. CACI is a subsidiary of CACI International Inc, a US-based company that provides distinctive expertise and differentiated technology to U.S. government customers to strengthen national security.

Rowe IT is a technology solutions company based in Plymouth, England. They provide the public sector with services and solutions which assist their clients on their digital journey. Their solutions intend to have a positive societal impact for clients such as MOD, Met Office, UK Hydrographic Office, Forestry Commission and central government.

With Rowe IT’s client base including government and defence organisations, particularly within critical national infrastructure, this is a strategic acquisition for CACI. Driven by an ambitious team, with strong client relationships and innovative software solutions at the forefront of their success, this aligns with CACI’s philosophy making Rowe IT an excellent fit.

Moore Kingston Smith Corporate Finance, having previously advised CACI on their acquisitions of Bitweave and Cyber-Duck, were well-placed to provide financial and tax due diligence services due to their effective, successful relationship and their understanding of the client’s needs.

Moore Kingston Smith’s Corporate Finance team, led by Mike Orton, Partner, and Adele Hebditch, Director, provided financial due diligence. They were supported by Thomas Acland, Director, and Sam Talbot, Assistant Manager from the M&A tax team who provided tax due diligence and advice on the transaction.
