Moore Kingston Smith Corporate Finance has advised New Green Services Ltd, a facilities management business providing cleaning, gardening and associated services in London and the South East, on its sale to Ever Brite Cleaning Ltd.

Established by Edward Dixon in 2003, with its central office in Welwyn Garden City, Hertfordshire, New Green Services provides services to housing associations involved in social housing. They are renowned for their client satisfaction and long-lasting relationships with their customers.

New Green’s 100 specialists deliver first-rate service to clients, operating with a strong culture focused on health and safety, people investment and accredited ISO 14001 systems to meet environmental and social responsibility criteria.

Ever Brite Cleaning Services Ltd provides high-standard, fully tailored commercial cleaning services across England. Established in 1977, with headquarters in Aylesbury, Buckinghamshire, it employs over 900 specialists, offering a wide range of professional cleaning services to private and public clients nationwide.

With this deal, both firms are preparing for growth as the government plans to build 1.5 million new homes in the UK over the next five years, including 120,000 social and affordable homes in London. This deal will enable New Green to grow further and expand geographically within the UK. For Ever Brite, this alliance will enhance its presence in the social housing sector and broaden its service range to cater to a wider range of customers.

In this transaction, Moore Kingston Smith Corporate Finance provided deal advisory services, including buyer research, which involved approaching hard and soft facilities management businesses in the UK to find the perfect fit as an acquirer. They took New Green to market, negotiated the deal terms with interested parties and project-managed the transaction from inception to completion.

The team, led by Dan Leaman, Corporate Finance Partner, and supported by Tom Betti-Berutto, Manager, advised New Green on the due diligence process and helped respond to financial and tax queries. As a multi-disciplinary firm, Moore Kingston Smith also provided M&A tax advice, delivered by Mark Fielden, Tax Partner, and Sam Talbot, Assistant Manager.

Edward Dixon, Managing Director of New Green, commented: “I would like to extend my thanks to Dan and Tom at Moore Kingston Smith for their efforts in the sale of New Green. They took the time to understand our business, and their knowledge of buyers, expertise and understanding of the sector were key in completing this deal. As I have not sold a business before, the communication and support from the team were vital in making the whole process as smooth as possible. I would definitely recommend Moore Kingston Smith to anyone planning to sell their business.”

Dan Leaman, Corporate Finance Partner, said: “The facilities management sector is very exciting at the moment, and we are seeing lots of activity across all levels of the industry. It was a pleasure to guide Edward through the transaction, and we are delighted with the outcome. We look forward to seeing where this new partnership will lead, and we wish both New Green and Ever Brite continued success.”
