Transfer of Undertakings (Protection of Employment)

TUPE stands for the Transfer of Undertakings (Protection of Employment) Regulations, which comes from a European Directive. TUPE protects OldCo’s employees and their contractual terms and conditions if OldCo’s business transfers to NewCo.

A TUPE transfer can happen when OldCo sells its business or part of its business to NewCo, where a contract to provide a service is lost by OldCo to NewCo, or where OIdCo outsources services or brings them back in-house.
