Thomas Dalby

Thomas Dalby is partner in the firm’s business tax and legal teams. A barrister and specialist in employee share schemes, he advises clients across all aspects of employee reward, including statutory share schemes such as EMI and CSOP and bespoke arrangements like growth shares.

Thomas’ clients range from founders just starting their business journey to international listed groups. He has vast experience working with private-equity-backed groups, working both buy and sell-side and advising on the memorandum of understanding (MoU) with HMRC on management equity.

Reflecting the increasing globalisation of business, Thomas has worked extensively with organisations looking to extend their share incentives to employees in other jurisdictions, as well as assisting companies that are expanding into the UK.

Known for his commercial approach to business challenges, clients value how Thomas explains complex tax and legal issues in a clear, approachable way.

Thomas’ understanding and expertise has led him to lecture and write on tax law. He is the author of Employee Share Schemes: Equity Reward in Owner-Managed Businesses.
