Moore Kingston Smith advises Endurance Capital on acquisition of majority stake in Forge Care Limited

Moore Kingston Smith has advised Endurance Capital, an independently owned private equity platform focused on the UK mid-market and select investments in South Africa, on its acquisition of a majority stake in Forge Care Limited.
Forge Care is a leading specialist provider of trauma-informed residential care for young people. Headquartered in Nuneaton, Warwickshire, West Midlands, the business was founded by the Miller family in 2018 and provides homes for up to 24 children who have experienced early disruption to their development.
The company operates The Forge, a purpose-built therapeutic community comprising four Ofsted-registered children’s homes. Forge Care has established a strong reputation for delivering high-quality therapeutic residential care for children and young people aged 6 to 18, working in partnership with local authorities across the UK.
Forge Care is leading a new care model creating high quality, safe and nurturing residential homes surrounded by nature where children can thrive by providing them with the vital support and care needed to be inspired, overcome trauma and fully realise as adults.
The investment will provide Forge Care with the capital and strategic support needed to accelerate its growth, including the development of additional homes, while preserving the culture, values, and clinical model that underpin the business’s positive outcomes.
Founders Gavin Miller, and Ryan Miller will continue in key leadership roles alongside Managing Director Adam Wells, ensuring continuity for children, staff and commissioners.
The transaction marks Endurance Capital’s first investment in the healthcare sector, strengthening its UK investment platform and further diversifying its portfolio.
In this project, Moore Kingston Smith provided tax structuring and tax due diligence services. The team has been led by Dave Coates, M&A Tax Partner, supported by Sam Talbot, M&A Tax Senior Manager, and Elliot Collishaw-Darby, Assistant Manager. They worked to a demanding timetable, delivering commercially focused advice and stakeholder structuring throughout the process.
This deal further strengthens Moore Kingston Smith’s track record in the healthcare sector, following its recent advice on the sale of Stepping Stones Resettlement Unit to Cygnet Healthcare and Priory’s acquisition of Victoria House.
